KOKKO Affiliate Program Agreement

General

“We”, “Our”, “Us”, and “KOKKO” are defined as collectively “KOKKO”. “You”, “Your”, and “Affiliate(s)” mean the applicant(s). “Site(s)” means applicant’s worldwide website and social media channels, such as Instagram, Facebook. This agreement will be effective if and only if KOKKO approves your application.

Approval of The KOKKO Affiliate Program

We carefully evaluate each application and will notify you through an email of your acceptance or rejection. We may reject your application for any reason, including, but not limited to our determination, in our sole discretion, that your site is unsuitable for the program. Unsuitable sites include, but are not limit to, those that: a) contain or link to nudity or pornography or promote sexually explicit materials; b) promote violence; c) promote discrimination based on race, sex, religion, nationality, disability, sexual orientation or age; d) promote illegal activities; e) infringe our intellectual property rights or those of any third party or otherwise violate the rights of any third party; f) contain, in our sole judgment, material that is defamatory, fraudulent, or harassing to us or any third party; g) promote the use of any pyramid or similar schemes; h) contain software downloads that potentially enable diversions of commissions from other sites, i) include “kokko” or variations or misspellings thereof, in their domain names; or j) have a clear stated mission that is in part to support religious or politically active causes, as represented on the homepage or one of the key landing pages.

Affiliate Links & Links on Your Site

Our affiliate program is hosted by Refersion, a third party program, which provides affiliate links and conducts commissions. You are solely responsible for the development, operation, and maintenance of your site and for all materials that appear on your site. Each affiliate link on your site will be in the form of a KOKKO logo, product image, banner image, or text link provided by us. You also agree not to obtain KOKKO images from any other source. You further agree not to use KOKKO images to promote products that are not available at KOKKO Online Store.

Order Processing and Commissions

We process affiliate orders in the same procedure as regular orders (i.e. non-affiliate orders). We will be responsible for all aspects of order processing and fulfillment, including payments processing, order cancellations, documentations, shipments, returns and exchanges, and customer service handling. We reserve the right to reject orders due to insufficient inventory, fraudulent transactions, and excess of restrictions on purchase. We or Refersion do not share order details, such as product details, customer information or shipping cost with our affiliates. All products, including sales and pre-order items, readily available for purchase at www.kokko.me are eligible for commission. Returned products or canceled/rejected orders are ineligible for commission (e.g. if an affiliate order was previously approved for commission and currently being canceled or partially refunded, your commission will be subtracted accordingly). Financial summary will appear on affiliate’s dashboard as real-time. In order to earn a commission, the customer must click on your affiliate link and make the purchase within 30 days. The customer will be allowed to leave and re-enter the page using the same browser without clearing the cookies. All commissions are processed in Canadian dollar via PayPal. In order to receive the commission, you hereby agree to have a PayPal account. You may not purchase products using your own affiliate link(s). You further agree not to disclose the financial information to any third party without prior written consent from us. 

Commission Schedule

We will pay approved commissions at the end of each calendar month. If an order that generated a commission is returned by the customer or canceled by us due to any reason, we will deduct the corresponding commission immediately or from your next month's payment. If there is no subsequent payment, we will send you an online bill for the returned product commission. We reserve the right to modify the commission schedule at any time in our sole discretion upon prior notice to you.

Relationship of Parties

Both of us are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between us. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that reasonably would contradict anything in this section.

Termination

Either you or KOKKO may terminate this agreement at any time and for any reason, with or without cause, by giving the other party a notice of termination. This agreement will end once either party sends their notification of termination to the other. If you do not generate at least 30 clicks or at least one order per calendar month through your affiliate link(s), you may be removed from the program. You are only eligible to earn commissions during the term of this agreement. Commissions earned prior to the date of termination will remain payable only if the related orders are not canceled or returned. Once you are no longer in the program, your final payment (if any) will be issued by the end of the following calendar month. Upon termination of this agreement, you must immediately remove our links, logo, banners, and other intellectual properties from your site. 

Modification

KOKKO may modify this Affiliate Agreement from time to time, for any reason, by posting revised Affiliate Agreement on kokko.me/affiliates-agreement. Any changes or modifications will be effective upon posting of the revisions of this agreement. KOKKO may inform you about the changes or modifications through an email. If any modification is unacceptable to you, your only recourse it to termination this agreement. Your continued participation in the program following our modification to the agreement will constitute binding acceptance of the modification.

Disclaimers

We make no express or implied warranties or representations with respect to Refersion, the Affiliate Program or any products sold through the Affiliate Program. In addition, we make no representation that the operation of KOKKO website will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors or termination of any services, products or this Agreement.
